01Agreement to Terms

These Terms of Service govern your access to and use of LotPro. By creating an account, accessing the web app, publishing a selling website, installing the Chrome extension, or otherwise using any LotPro service, you agree to be bound by these terms. If you do not agree, do not use the service.

These terms apply to the LotPro web application, your hosted selling website, the LotPro Chrome extension, and all related tools and services we provide.

02Description of Service

LotPro is a platform for car salespeople, dealers, and agencies. The service provides:

• A personal selling website with your own branding and live inventory.
• Real-time inventory sync, powered by MotorsDynamic.
• Lead capture and a unified inbox for messages across your channels.
• A mini CRM and deal pipeline to track customers and follow-ups.
• Tools to post your inventory to Facebook Marketplace.

We may add, change, or remove features over time to improve the service.

03Accounts and Eligibility

You must be at least 18 years old to use LotPro. When you create an account, you agree to provide accurate, current, and complete information and to keep it up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect any unauthorized use.

04Subscriptions and Billing

The Salesperson plan is billed at a flat rate of $100 per month. Dealer and agency plans are custom and priced separately. Fees are billed in advance and recur on each billing cycle until you cancel.

You can cancel at any time, and your access continues through the end of the current billing period. We do not provide refunds for partial billing periods unless required by law. Plan prices may change with reasonable advance notice.

05Acceptable Use

You agree to use LotPro lawfully and responsibly. You may not:

• Use the service for any unlawful, fraudulent, or deceptive purpose.
• Send spam or unsolicited bulk messages of any kind.
• Post inventory you are not authorized to sell or represent.
• Ignore the posting rules, rate limits, or policies of any connected third-party platform.

You are responsible for complying with the terms of any third-party platform you connect through LotPro, including Facebook and Facebook Marketplace.

06Third-Party Platforms (Facebook Marketplace)

Posting to Facebook is always user-initiated and is subject to Facebook's own terms and policies. LotPro does not store your Facebook credentials. You are solely responsible for the standing of your Facebook account and for following Facebook's rules when you use the posting tools.

We do not control Facebook and cannot guarantee continued access to or performance of any third-party platform.

07Inventory Data

Inventory shown in LotPro is sourced from your connected dealership systems through MotorsDynamic. By using the service, you represent that you are authorized to use and list that inventory.

Data accuracy depends on the source feed. We work to keep inventory current, but we do not guarantee that every listing, price, or specification is free of errors from upstream systems.

08Intellectual Property

LotPro, including its software, design, and underlying technology, is owned by LotPro and Carfluence. These terms do not grant you any ownership of the platform.

You retain rights to your own content and listings. You grant LotPro a non-exclusive license to host, store, and process your content as needed to provide the service to you.

09Your Selling Website

You are responsible for the content you publish on your selling website. The AI editor produces validated content blocks, but you remain responsible for the accuracy and legal compliance of your listings, claims, pricing, and disclosures.

Do not publish content that is misleading, infringing, or that violates any applicable law or dealer agreement.

10Disclaimers

The service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not guarantee any specific sales results, lead volume, or Facebook Marketplace performance.

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11Limitation of Liability

To the maximum extent permitted by law, LotPro's total liability for any claim arising out of or relating to the service is limited to the fees you paid to LotPro in the twelve months before the event giving rise to the claim.

LotPro is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, or lost data.

12Indemnification

You agree to indemnify and hold harmless LotPro from any claims, damages, losses, and expenses arising out of your misuse of the service, your content, or your violation of these terms or of any third-party platform's terms, including those of Facebook and Facebook Marketplace.

13Termination

You may stop using LotPro and cancel your subscription at any time. Either party may terminate this agreement with reasonable notice.

We may suspend or terminate your access if you breach these terms or if you violate the rules of a connected third-party platform. On termination, your right to use the service ends.

14Changes to Terms

We may update these terms from time to time. When we do, we will revise the "Last Updated" date noted at the top of this page. Your continued use of the service after changes take effect means you accept the updated terms.

15Governing Law

These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. LotPro is a Pennsylvania entity, and you agree that the courts located in Pennsylvania have jurisdiction over any dispute arising from these terms.
